Indiana Registered Agent Requirements

Appointing a registered agent is a required line on the Articles of Organization, and the obligation continues for the life of the LLC: Indiana law requires a registered agent and registered office to be maintained continuously. Since 2018 the governing rules sit in the Uniform Business Organizations Code at Ind. Code ch. 23-0.5-4 (older references to the LLC act for agent matters predate that move). Changes to the agent are filed under Ind. Code § 23-0.5-4-6. The agent is part of the formation process; everything after approval is in the after-formation guide.

What the Agent Receives

• Service of process. Lawsuits, subpoenas, and summonses directed at the LLC
• Secretary of State mail. Business Entity Report notices and compliance correspondence
• Tax notices. Department of Revenue communications
• Other official notices. Anything the state needs delivered on the record

The agent must be reachable at the registered office during regular business hours.

Who Can Serve Under Ind. Code ch. 23-0.5-4

Indiana recognizes two categories of agent under the UBOC's Model Registered Agents Act framework:

• Commercial registered agents: companies that have filed a commercial-agent listing with the Secretary of State and appear in INBiz's agent selection. Professional agent services fall here.
• Noncommercial registered agents: an individual or a business serving for a particular company without a commercial listing.

An individual serving as agent must be an Indiana resident, at least 18, with a physical Indiana street address. A business serving as agent must be authorized to transact business in Indiana. One hard limit, straight from the state's official FAQ: a business cannot serve as its own registered agent. The owner, as an individual Indiana resident, can serve for the company; the company cannot name itself.

The Address Rule

The registered office must be a physical street address in Indiana. PO boxes are not acceptable, because the point of the office is a place where process can be handed to a person during business hours. That address, and the agent's name, sit in the public INBiz record.

Changing Your Registered Agent

Indiana makes this one of the few genuinely free filings: the Statement of Change of Registered Agent, State Form 56367, prints "NO FILING FEE" on its face and is filed under Ind. Code § 23-0.5-4-6. It can be submitted online through INBiz or on paper to the Business Services Division. You can also update the agent on your biennial Business Entity Report, with the agent's consent represented by checkbox.

Can I be my own registered agent in Indiana?

If you are an Indiana resident, 18 or older, with a street address where you are available in business hours, you as an individual can serve as agent for your LLC. What Indiana prohibits is the LLC naming itself as its own agent.

What does the agent's consent look like?

Consent to serve is part of the appointment; on the Business Entity Report it is represented by a checkbox, and commercial agents handle consent as part of onboarding.

What if my agent resigns or moves away?

Appoint a replacement promptly through INBiz using the free State Form 56367 filing. An LLC that fails to maintain an agent risks missed service of process and, eventually, administrative dissolution.

Does a PO box or mail-forwarding address ever qualify?

No. The registered office must be a physical Indiana street address where documents can be delivered by hand.
